1. Introduction and Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and Northern Collage Studio Inc. ("we", "us", "our", or the "Company"), a collage-studio business based in Toronto, Ontario, Canada. These Terms govern your access to and use of our website, communications, ordering process, workshop registrations, products, and services, including custom photo collages, handmade mixed-media wall art, corporate milestone collages, memorial and tribute collages, event and wedding gift collages, and collage workshop sessions (collectively, the "Services").

By accessing our website, placing an order, booking a workshop, making payment, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all policies referenced herein. If you do not agree to these Terms, you must not use our Services.

If you use the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. Scope of Services

Northern Collage Studio Inc. provides custom and made-to-order collage artwork and related creative services. Depending on the project, Services may include:

  • Custom photo collages;
  • Handmade mixed-media wall art;
  • Corporate milestone collages;
  • Memorial and tribute collages;
  • Event and wedding gift collages; and
  • Collage workshop sessions.

All Services are provided subject to availability, project feasibility, creative discretion, production capacity, and timely receipt of required materials, approvals, and payment. We reserve the right to decline any project or workshop registration at our discretion, including where content is unlawful, offensive, defamatory, infringing, unsafe, or otherwise unsuitable.

Product images, mockups, samples, descriptions, colors, materials, framing, and finishes shown on our website or in communications are for illustrative purposes only. As artwork is handmade and/or customized, final results may vary from previews, digital proofs, and sample images.

3. User Obligations and Responsibilities

You agree to:

  • Provide accurate, current, and complete information when placing an order, registering for a workshop, or communicating with us;
  • Submit photographs, text, logos, and other materials in the required format, resolution, and deadline specified by us;
  • Ensure that all materials you provide are lawful and do not infringe the rights of any third party;
  • Obtain all permissions, consents, model releases, privacy consents, trademark licenses, and copyright permissions necessary for our use of submitted materials in the requested project;
  • Review proofs, mockups, draft designs, and project details promptly and carefully;
  • Respond to requests for approval, revisions, clarification, delivery information, or workshop logistics within a reasonable time;
  • Use our Services only for lawful purposes and in accordance with these Terms; and
  • Not attempt to reverse engineer, copy, reproduce, resell, or misrepresent our artwork, design process, or workshop materials without our prior written consent.

You are solely responsible for the content you supply and for any claims arising from your failure to secure necessary rights or consents. We are not obligated to verify the ownership or authorization status of materials provided by you.

For memorial, tribute, or sensitive-use projects, you confirm that you have the legal authority or appropriate family/estate permission to submit the relevant images, names, likenesses, quotes, or materials.

4. Payment Terms and Conditions

Prices are quoted in Canadian dollars unless otherwise stated and are subject to applicable taxes, shipping charges, framing costs, materials surcharges, handling fees, and other charges disclosed at checkout, invoice, or quotation.

Unless otherwise agreed in writing:

  • A non-refundable deposit may be required before work begins;
  • The remaining balance must be paid before final delivery, shipment, or workshop attendance, as applicable;
  • For custom orders, production will not commence until the required deposit and requested materials are received;
  • Invoices are due upon receipt or by the due date stated on the invoice;
  • Late payments may result in production delays, cancellation, storage charges, or suspension of Services; and
  • We may charge interest or reasonable administrative fees on overdue amounts to the extent permitted by applicable law and disclosed in writing.

We reserve the right to correct pricing errors, typographical errors, or omissions. If a pricing error affects your order, we may contact you to confirm the correct price or cancel the order and refund any amounts paid.

Payment methods accepted by us may include credit card, debit card, e-transfer, electronic payment platforms, or other methods communicated by us from time to time. You represent and warrant that all payment information provided is accurate and that you are authorized to use the payment method selected.

5. Cancellation and Refund Policy

Because many of our Services are custom-made, handmade, and tailored to individual specifications, all cancellations and refunds are subject to the limitations set out below and any additional written agreement between you and Northern Collage Studio Inc.

  • Custom artwork: Deposits are generally non-refundable once a project has been reserved or work has started, including planning, sourcing, design, or production.
  • Client cancellations: If you cancel a custom order after work has begun, you may remain responsible for all completed work, materials purchased, design time, and any non-recoverable costs.
  • Proof approvals: Once you approve a proof, draft, or final design, no refund will be available for content, spelling, layout, color, image selection, or other approved elements, except where required by law.
  • Workshops: Workshop registrations may be cancelled only in accordance with the cancellation deadline, if any, communicated at the time of booking. Missed workshops or no-shows are not refundable.
  • Shipping/delivery: Shipping charges are non-refundable once the item has been dispatched. We are not responsible for carrier delays, damage, or loss except to the extent required by law or covered by a separate written policy.
  • Defective or damaged items: If an item arrives damaged or with a material defect attributable to us, you must notify us in writing within a reasonable period after delivery with supporting photographs and details. We may, in our discretion and where appropriate, repair, replace, or refund the affected portion.

Refunds, if approved, will generally be issued using the original payment method within a reasonable time. We may require the return of the item before approving a replacement or refund.

Nothing in these Terms limits any non-waivable rights you may have under applicable consumer protection laws in Canada or Ontario.

6. Liability Limitations

To the maximum extent permitted by applicable law, Northern Collage Studio Inc., its directors, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of goodwill, emotional distress, or loss of data, arising out of or related to the Services, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or related to the Services will not exceed the total amount paid by you to Northern Collage Studio Inc. for the specific Service giving rise to the claim.

We are not responsible for:

  • Errors, omissions, delays, or inaccuracies in materials supplied by you;
  • Delays caused by your failure to provide approvals, information, or payment on time;
  • Third-party acts or omissions, including postal or courier services, payment processors, venue operators, or event hosts;
  • Natural variations inherent in handmade artwork, paper stock, mixed media, inks, adhesives, framing, or other craft materials;
  • Damage resulting from improper handling, storage, display, framing, installation, humidity, sunlight, water, or other environmental factors after delivery; or
  • Any use of the Services contrary to our instructions.

Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful, including liability for fraud, wilful misconduct, or any non-excludable obligations under applicable law.

7. Intellectual Property Rights

Unless otherwise agreed in writing, Northern Collage Studio Inc. retains all rights, title, and interest in and to our pre-existing intellectual property, including our name, brand elements, website content, templates, methods, processes, and original design materials.

Subject to full payment and any written license terms, you may receive ownership of the physical artwork delivered to you. However, unless expressly transferred in writing, we retain all intellectual property rights in our creative process, preliminary concepts, design sketches, mockups, and portfolio materials.

You grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, adapt, display, and store the materials you provide solely as necessary to perform the Services and, where you have consented or where otherwise permitted by law, for administrative, archival, promotional, or portfolio purposes.

We may photograph completed artwork and use images of commissioned pieces, excluding confidential client information where reasonably practicable, for our website, social media, portfolio, marketing, and records unless you notify us in writing before production begins that you do not consent to such use.

You must not copy, reproduce, distribute, publish, or exploit our designs, drafts, workshop materials, or content without our prior written permission, except as expressly allowed by law.

8. Data Protection and Privacy

We collect, use, disclose, and store personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA), and any applicable provincial privacy legislation.

Personal information may include your name, contact details, billing information, shipping address, event details, image files, and any other information you voluntarily provide to us.

We use personal information to:

  • Process orders, payments, and workshop registrations;
  • Communicate with you about projects, approvals, delivery, and support;
  • Maintain business records and comply with legal, tax, and accounting obligations;
  • Prevent fraud, misuse, or unauthorized access;
  • Improve our Services and customer experience; and
  • Send marketing communications, only where permitted by law and where applicable consent or an unsubscribe mechanism is provided.

We take reasonable administrative, technical, and physical safeguards to protect personal information. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

We may use third-party service providers for payment processing, shipping, communications, hosting, or other operational purposes. These providers may process personal information on our behalf, subject to their own terms and applicable privacy obligations.

By providing personal information or submitting images containing identifiable persons, you confirm that you have all necessary rights and consents for us to process that information for the purposes of providing the Services.

9. Force Majeure

We will not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay is caused by an event beyond our reasonable control, including but not limited to acts of God, fire, flood, severe weather, epidemic, pandemic, labour disputes, utility outages, supply chain disruptions, war, terrorism, government action, courier failure, or internet/system outages.

If a force majeure event occurs, we may suspend performance, extend timelines, modify delivery dates, or cancel the affected order or workshop, as reasonably necessary. Where appropriate, we will communicate with you about available options.

10. Changes to Terms

We may update or revise these Terms at any time to reflect changes in our Services, operational practices, or applicable law. The revised Terms will be posted or otherwise made available with an updated effective date.

Your continued use of the Services after the revised Terms become effective constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Services.

11. Applicable Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to them, the Services, or any transaction with Northern Collage Studio Inc. will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
